Terms and Conditions

• You must register an account with accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your login credentials
• You must be at least 18 years old or have parental consent to use the Service
• You must promptly notify us of any unauthorized use of your account
• One person or entity may not maintain more than one free account

Service Tiers

The Service offers multiple subscription tiers:

• Free Account: Includes limited features and a specified number of credits per billing period
• Paid Subscriptions: Various paid plans with enhanced features and credit allocations, as detailed on our pricing page at clevra.app

Billing Terms

• Paid subscriptions require a valid payment method
• Subscriptions are billed in advance on a recurring basis (monthly or annually as selected)
• All fees are non-refundable except as required by applicable law
• We reserve the right to change subscription fees and credit allocations with 30 days' prior notice
• We may modify, limit, or discontinue the free account tier at any time with or without notice
• We reserve the right to convert free accounts to paid accounts or terminate free accounts at our sole discretion

Automatic Renewal

Paid subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings, with cancellation taking effect at the end of the current billing period.

Credit Usage

• The Service operates on a credit-based system where various actions (content generation, AI processing, etc.) consume credits
• Each subscription plan includes a specified number of credits per billing period
• Credit consumption rates for different actions are displayed within the Service and may be updated from time to time

Credit Policies

• Non-Refundable: All credits, whether included in your subscription or purchased separately, are non-refundable under any circumstances
• Non-Transferable: Credits cannot be transferred between accounts or exchanged for cash or other consideration
• Expiration: Credits expire at the end of each billing period for subscription plans, or according to terms specified at purchase for additional credit packages
• No Rollover: Unused credits do not carry over to subsequent billing periods unless explicitly stated
• Variable Pricing: We reserve the right to modify credit costs for various actions with reasonable notice through the Service interface

Additional Credits

• Additional credits may be purchased beyond your subscription allocation
• Additional credit purchases are final and subject to the same non-refundable and non-transferable policies
• Additional credits may have different expiration terms than subscription credits

AI-Generated Content

• Our Service uses artificial intelligence to assist in content creation and management
• AI-generated content is provided as a tool to assist your content creation process
• You are solely responsible for reviewing, editing, and verifying all AI-generated content before publication or use

Content Responsibility

• You retain full responsibility and liability for all content created, modified, or published through the Service
• You must ensure all content complies with applicable laws and regulations
• You are responsible for obtaining necessary rights, permissions, or licenses for any content you create or modify

AI Limitations Disclaimer

• AI-generated content may not be accurate, complete, or suitable for your specific needs
• We do not guarantee the quality, accuracy, or appropriateness of AI-generated content
• AI systems may occasionally produce content that is factually incorrect, biased, or inappropriate

Your Content

Paid Subscription Users

• You retain full ownership of content you create or upload to the Service
• By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify, and distribute your content solely for the purpose of providing the Service to you
• This license terminates when you delete the content or terminate your account, except for content that has been shared publicly or integrated into our Service operations

Free Account Users

• We retain ownership of all content created, generated, or uploaded through free accounts
• You grant us a perpetual, worldwide, exclusive, royalty-free license to use, modify, distribute, display, and create derivative works from any content created on free accounts
• We may use free account content for marketing, promotional, training, or any other business purposes without compensation to you
• You may not claim ownership of content created through free accounts
• Upgrade Provision: If you upgrade to a paid subscription, ownership of all content previously created under your free account will transfer to you, though we retain the right to continue using any content that was used for marketing, training, or promotional purposes prior to your upgrade

All Users

• This license extends to our successors, assigns, and any entity that acquires our business or assets
• We reserve the right to review, monitor, and remove any content that violates these Terms or that we deem inappropriate in our sole discretion
• We may use aggregated, anonymized data derived from your use of the Service for analytical and improvement purposes

Our Intellectual Property

• The Service, including its software, features, functionality, and underlying technology, is our exclusive property
• You may not copy, modify, distribute, or reverse engineer any part of the Service

You agree not to use the Service to:

• Upload, create, or distribute malware, viruses, or harmful software
• Conduct fraudulent activities, including phishing or scamming
• Violate intellectual property rights of others
• Generate, create, upload, or distribute pornographic, sexually explicit, or adult content of any kind
• Create content that we, in our sole discretion, deem inappropriate, offensive, or harmful to our brand or community
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of privacy
• Create content intended to deceive, mislead, or impersonate others
• Generate content that infringes on intellectual property rights, including copyrighted material
• Use the Service to create deepfakes or other manipulated media without proper disclosure
• Engage in harassment, hate speech, or discriminatory behavior
• Create content that promotes violence, illegal activities, or harm to individuals or groups
• Use the Service for competitive intelligence or to replicate our functionality
• Attempt to circumvent usage limitations, credit systems, or technical restrictions
• Use automated tools, bots, or scripts to access the Service except as explicitly permitted
• Use the Service in any way that could damage, disable, or impair the Service
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Resell, redistribute, or provide commercial access to the Service without authorization

• We implement industry-standard security measures to protect your data
• Our collection and use of your personal information is governed by our Privacy Policy
• You are responsible for maintaining appropriate backups of your content
• While we strive to protect your data, no system is completely secure, and you use the Service at your own risk

• The Service provides version control and page history features
• You are responsible for managing your content versions and understanding changes made within your account
• Deleted content enters a soft-delete status with recovery options available for 30 days, after which deletion may become permanent
• We are not responsible for loss of content due to user error or failure to maintain appropriate backups

Service Availability

• We strive to maintain Service availability but do not guarantee uninterrupted access
• We provide the Service on a commercially reasonable efforts basis but make no uptime guarantees
• The Service may be temporarily unavailable due to maintenance, updates, or technical issues
• We reserve the right to implement usage limits, rate limiting, or temporary restrictions to maintain Service quality
• We are not liable for any loss or damage resulting from Service downtime or performance issues

Service Modifications

• We reserve the right to modify, update, or discontinue features of the Service at any time
• Significant changes to core functionality will be communicated with reasonable advance notice
• Continued use of the Service after modifications constitutes acceptance of such changes

Termination by Us

• We may suspend or terminate your access immediately for violation of these Terms
• We may terminate accounts that remain inactive for extended periods with reasonable notice
• We reserve the right to refuse service to anyone for any reason at our sole discretion
• We may terminate or suspend accounts that we reasonably believe pose a security risk
• Upon termination, your right to use the Service ceases immediately

Termination by You

• You may terminate your account at any time through your account settings
• Termination does not entitle you to refunds of fees already paid or unused credits
• You remain responsible for any charges incurred before termination

Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE LESSER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE SHALL APPLY EVEN IF YOUR REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

You agree to indemnify, defend, and hold harmless Clevra.app, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you create, upload, or share through the Service

Governing Law

These Terms are governed by the laws of Denmark, without regard to conflict of law principles.

Dispute Resolution Process

• Any disputes shall first be addressed through good faith negotiations
• If negotiations fail, disputes shall be resolved through binding arbitration under Danish law
• You waive any right to participate in class action lawsuits or class-wide arbitration

You acknowledge that the Service may be subject to export control laws and regulations. You agree not to use the Service in violation of any applicable export control laws, including but not limited to providing access to prohibited persons or in prohibited countries.

If you are under 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

We may offer beta, experimental, or preview features that are clearly marked as such. These features are provided "as is" with additional risks and no warranties. We may discontinue beta features at any time without notice.

Force Majeure

We are not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, strikes, governmental actions, technical failures, cyber attacks, pandemics, or third-party service interruptions.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Assignment and Transfer of Business

We may freely assign, transfer, or delegate these Terms and our rights and obligations hereunder, in whole or in part, without notice or your consent, including in connection with any merger, acquisition, sale of assets, or other business transaction. This includes the right to transfer user accounts, data, and all associated rights to any successor entity.

You may not assign your rights under these Terms without our prior written consent.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.

Notices

We will provide notices through email or the Service interface. You are responsible for maintaining current contact information.

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
